Terms of Service

Last updated: 15 October 2026

1. Purpose and scope

These terms govern the general conditions of the services that ROMBIA ([OWNER], Tax ID (NIF) [NIF]) provides to businesses and professionals: process audit, process consultancy, implementation of artificial intelligence and automation solutions, and support and maintenance plans. Our services are aimed at businesses and professionals, not consumers.

2. Free audit

The initial audit or assessment is free of charge and does not create any obligation to contract for either party. Its purpose is to analyse the client's operations and propose next steps.

3. Proposals and engagement

Each project is formalised through a specific proposal detailing the scope, deliverables, timelines, price and payment terms. A proposal accepted in writing (including by email) prevails over these terms on any matter it regulates differently. Quotes are valid for 30 days unless otherwise stated.

4. Price and payment

Prices are shown excluding VAT, which will be added in accordance with current regulations. Payment terms and schedules will be as indicated in each proposal. Late payment may result in the suspension of work or the maintenance service until payment is regularised.

5. Client obligations

  • Provide the information, access to tools and the collaboration of the people needed for the project.
  • Validate deliverables within the agreed timelines.
  • Ensure it holds the rights and licences for the tools and data it makes available to the project.

Delays attributable to the client may change the delivery timelines.

6. ROMBIA's obligations

  • Provide the services with professional diligence and in accordance with what was agreed in the proposal.
  • Maintain the confidentiality of all client information.
  • Keep the client informed of project progress and any relevant issues.

7. Third-party tools and services

Solutions may rely on third-party tools (for example, automation platforms, artificial intelligence models, CRM or ERP systems). Their availability, prices and terms depend on each provider. Licence or usage costs for those tools are borne by the client, unless the proposal states otherwise.

8. Support and maintenance plans

Support plans (Essential, Evolution and Pro) are contracted for the duration, scope and price indicated in the proposal, and are automatically renewed for equal periods unless notice to the contrary is given 30 days in advance. "Unlimited" adjustments are always understood to be within the scope of the system already implemented; new features are quoted separately.

9. Ownership of developments

Once the full price has been paid, the client may use the flows, configurations and developments delivered for its business activity. ROMBIA retains ownership of its methodologies, templates, reusable components and prior know-how, unless otherwise agreed in the proposal.

10. Confidentiality

Both parties undertake not to disclose the other party's confidential information, during the project and after its completion.

11. Data protection

When, in order to provide the service, ROMBIA accesses personal data for which the client is responsible, it will act as a data processor and the corresponding data processing agreement will be signed, in accordance with Article 28 of the GDPR. More information in our Privacy Policy.

12. Limitation of liability

ROMBIA is liable for the proper provision of its services, but not for indirect damages, loss of profit, or failures of third-party tools or services. The results and figures shown on the website are indicative and do not constitute a guarantee of results. In any case, ROMBIA's maximum liability is limited to the amount paid by the client for the affected service in the last 12 months.

13. Termination

Either party may terminate the contract due to serious breach by the other party, following written notice and failure to remedy it within 15 days. Work carried out up to the termination date will be paid for in any case.

14. Applicable legislation and jurisdiction

These terms are governed by Spanish law. For any dispute, the parties submit to the courts and tribunals of the owner's registered address, unless the law provides otherwise.
